Terms of Service
The rules that apply when you use this website, request a quote, or engage NilePhase Energy for services.

1. Who these terms are with
These terms are an agreement between you and NilePhase Engineering Ltd, trading as NilePhase Energy, registered in Uganda ("NilePhase", "we", "us"). They apply when you use nilephase.com, submit a quote or contact request, or engage us for solar installation, repair, commissioning, or maintenance services.
2. Use of the website
- The site is provided for information and lead generation. You may browse, share links, and save or print pages for personal use.
- All content — text, diagrams, photos, logos, case studies — is owned by NilePhase or its licensors and protected by copyright. You may not reproduce it for commercial use without written permission.
- You agree not to attempt to interfere with the site, probe for vulnerabilities, or submit false or misleading information in our forms.
3. Quotes and proposals
A quote is not a contract. It is our written offer to deliver a defined scope of work at a stated price, valid for the period printed on it (typically 30 days). A binding contract exists only when you sign our proposal or pay the deposit invoice. Until then, prices and lead times are subject to change due to exchange rates, supplier pricing, or site conditions discovered during survey.
4. Installation, commissioning and maintenance
- Scope. Each project is delivered to the scope and specifications in the signed proposal. Changes after sign-off are handled via a written variation order, with cost and time impact agreed in writing before work resumes.
- Access and site conditions. You agree to provide safe site access, a suitable mounting surface, and any information we ask for (loads, existing wiring, permits). We are not liable for delays caused by inaccurate site information or access refusals.
- Commissioning. A system is considered commissioned and delivered when it passes our documented commissioning checklist and we hand over the pack (BOM, as-built diagram, inverter settings, commissioning report, warranty cards).
- Maintenance contracts. Maintenance services are governed by the SLA in your contract, which sets out visit frequency, response times, and covered vs excluded items.
5. Payment
Unless agreed otherwise in writing, our standard terms are: 60% deposit on order, 30% on material delivery to site, 10% on commissioning sign-off. Invoices are due within 7 days. Unpaid amounts accrue interest at 1.5% per month. We retain title in equipment supplied until paid in full.
6. Warranty
- Workmanship. We warrant our installation workmanship for 12 months from commissioning. If a defect caused by our workmanship is reported within this period, we will repair or rework it at no charge.
- Equipment. Panels, inverters and batteries are covered by their manufacturer's warranty (typically 10 years on panels, 5 years on inverters, and per-manufacturer for batteries). We act as your point of contact for warranty claims on equipment we supplied.
- Exclusions. Warranty does not cover damage from lightning, surges outside the protection we specified, unauthorised modifications, tampering, theft, vandalism, flood, or use outside rated conditions.
7. Liability
We accept liability for direct, reasonably foreseeable losses caused by our breach of these terms or our negligence, capped at the value of the specific contract giving rise to the claim. We are not liable for indirect or consequential losses — including loss of profit, loss of production, data loss, or loss of opportunity — except where prohibited by Ugandan law.
Nothing in these terms limits liability that cannot lawfully be limited (e.g. death or personal injury caused by our negligence, or fraud).
8. Force majeure
We are not in breach of these terms if delivery is delayed or prevented by events outside our reasonable control, including but not limited to severe weather, grid or fuel shortages affecting transport, import disruption, government action, pandemic restrictions, or supplier force-majeure. We will keep you informed and resume performance as soon as reasonably practical.
9. Data protection
Our handling of personal information is described in the Privacy Policy, which forms part of these terms.
10. Governing law
These terms are governed by the laws of the Republic of Uganda. Any dispute we cannot resolve amicably will be subject to the exclusive jurisdiction of the courts of Uganda sitting in Kampala.
11. Changes
We may update these terms from time to time. The "Last updated" date at the top reflects the current version. Material changes that affect an active contract will be communicated to you directly before they take effect.
